TERMS OF USE OF INFORMATION TECHNOLOGY SERVICE MANAGEMENT (ITSM - DO IT) SYSTEM ("TERMS OF USE")
These Terms of Use govern the access and use of ITSM - DO IT System by the Employees.
Definitions
"Agrobank"
refers to Bank Pertanian Malaysia Berhad (200801010522 (811810-U))
"Employee"
refers to individual who has entered into contract of employment with Agrobank and is authorized to access and use ITSM - DO IT System.
By accepting and agreeing to these Terms of Use, the Employee undertakes as follows:
The Employee shall at all time maintain the privacy and confidentiality of all data or information available on ITSM - DO IT System from being disclosed to any third party. For this purpose, the provisions of these Terms of Use as well as the following documents (including any amendment made by Agrobank onto them from time to time) shall be strictly observed by the Employee:
Agrobank's internal policies, manuals and/or guidelines and the directives and/or instructions given by the management of Agrobank, including but not limited to the Work From Home Guidelines (OM-98/26) and ITSM System User Manual (OM-161);
the laws of Malaysia including but not limited to the Personal Data Protection Act 2010 and the Development Financial Institution Act 2002; and
any policies or guidelines issued by Agrobank and/or Bank Negara Malaysia which are relevant to the use and access of ITSM - DO IT System by the Employee.
The Employee understands that the rights to access and use ITSM - DO IT System are strictly only for the purpose of executing the roles of the ITSM users including (but not limited to) requestor, reviewer and approver for the modules in the system (Incident Management, Service Request Management, Problem Management, Change Management, Knowledge Management and Configuration Management Database) and acknowledges Agrobank's discretion and right to terminate and/or suspend the Employee's access to or use of ITSM - DO IT System at any time, for any reason whatsoever.
The Employee understands and agrees that the contents of ITSM - DO IT System (including but not limited to information, details, graphics, pictures, data, logo, files, texts and sound recordings) are the intellectual property and subject to the copyright of Agrobank, which shall at all times vest and remain vested in Agrobank. Thus, the Employee shall not, in any manner, copy or print out the contents of ITSM - DO IT System (or any part thereof) for the purpose to modify, distribute, disclose, broadcast, transmit, display, reproduce, publish, transfer and/or commercially deal with the same, without the express prior consent of Agrobank.
The Employee agrees that the Employee may be subject to disciplinary and/or legal action and Agrobank may revoke the rights granted to the Employee to access or use of ITSM - DO IT System, if found to be in breach of any provision specified in these Terms of Use.
The Employee shall and agrees to irrevocably indemnify Agrobank from or against any action, claim, proceeding, liability, loss, damages, costs (including legal costs as between solicitor and client on full indemnity basis), charge and/or expenses that may be made against Agrobank by any other party or incurred by Agrobank in connection with or in any manner arising from the Employee's breach of the provisions of these Terms of Use.
Miscellaneous
Governing Law
These Terms of Use are governed by and are to be construed in accordance with the laws of Malaysia and any dispute arising out of these Terms of Use shall be subject to the exclusive jurisdiction of the Malaysian courts.
Waiver
Only Agrobank shall have the right to waive or discharge any provision stated herein, whereby such waiver or discharge shall only be becomes valid if it is effected in writing. No failure or delay on the part of Agrobank in exercising nor any omission to exercise any right, power, privilege or remedy provided in these Terms of Use shall constitute a waiver or acquiescence of such default which shall affect of impair any right, power, privilege or remedy herein.
Severability
If any part of these Terms of Use is determined to be invalid or unenforceable pursuant to applicable laws, then the invalid and unenforceable provision will be deemed superseded by a valid and enforceable provision accorded by law and the remainder of the other provisions of the Terms of Use shall remain in full force and effect.
Variation
Agrobank reserves the right to vary or supplement these Terms of Use at any time and from time to time, by way of notice in any such manner deems appropriate by Agrobank.
Assignment
The Employee shall not be entitled to assign any of the Employee's rights or obligations under these Terms of Use as specified herein.
